TERMS
By checking the box and/or digitally signing this agreement, you acknowledge that you have read, understood, and agree to the following Terms of Service (“Terms”) between Pinnacle Online Marketing Pty Ltd (“Pinnacle,” “we,” “us,” or “our”) and you, the client (“User,” “Dealership,” or “Client”).
These Terms govern your access to and use of the Pinnacle DealerCore software platform and related onboarding, automation, and marketing services (“Services”).
1. Service Overview
Pinnacle DealerCore is an advanced, all-in-one AI-driven dealership growth platform. It provides CRM, automation, lead management, AI communication tools, and marketing systems designed to help dealerships increase sales, streamline workflows, and optimize marketing performance.
Our team provides onboarding, training, and advisory support to help your dealership implement and scale these systems effectively. All coaching and implementation guidance are advisory in nature—results depend on your dealership’s internal processes, staff engagement, market, and ad spend.
2. Minimum Term Commitment
Your initial agreement term is a fixed 120-day (four-month) minimum commitment. After the 120-day period, your subscription automatically converts to month-to-month unless canceled in accordance with Section 6.
If you cancel before the end of the 120-day commitment, all remaining payments for that period become immediately due and payable in full.
3. Payment Terms
Setup Fee: A one-time $750 setup fee is due upon sign-up and is non-refundable.
Monthly Fee:$350 per month (Plus Elsie costs if opted in), billed automatically to the active payment method on file.
You authorize Pinnacle Online Marketing Pty Ltd to automatically charge your card each billing cycle until written cancellation is received and confirmed.
All payments are final and non-refundable once processed, including early cancellations or unused periods.
4. Overdue Accounts & Debt Collection
If your account remains unpaid for more than 45 days with no response or correspondence:
The balance may be referred to an independent debt-collection agency without further notice.
You remain fully liable for all outstanding balances, including any collection fees.
Any chargeback or payment reversal constitutes a breach of contract and may result in immediate account suspension or termination.
5. Communication Credits (Twilio Usage)
Each monthly SOLOFORCE subscription includes a $35 communication credit for SMS, calls, and emails across all dealership users. This covers approximately:
5,000 text messages (60 characters each), or
4,500 call minutes, or
95,000 emails.
When the credit is exhausted, automatic top-ups of $10 will be charged to your card on file. Unused credits roll over monthly.
Communication rates, credits, and pricing are subject to change without notice, depending on carrier and third-party platform costs.
6. Cancellation Policy
Cancellations must be submitted in writing to [email protected] at least 14 days prior to your next scheduled billing date.
Cancellations made after this period may result in one additional billing cycle being charged.
Access to the DealerCore platform will remain active until the end of the current paid term.
Early cancellations within the 120-day minimum term require payment of all remaining contracted months.
7. Ownership, Access & Intellectual Property
All dealership data entered into your account remains your property.
All software systems, automations, workflows, templates, and proprietary tools remain the exclusive property of Pinnacle Online Marketing Pty Ltd.
DealerCore accounts include unlimited seats/users under your dealership’s license, but access credentials may not be shared outside your organization.
You agree not to copy, reproduce, resell, or redistribute Pinnacle’s proprietary content, automations, or system designs.
Unauthorized sharing or sub-licensing may result in immediate suspension or termination.
8. Platform Dependencies
DealerCore operates through integrations with third-party services including Twilio, Mailgun, OpenAI (ChatGPT), Meta, and Google APIs. By using the platform, you agree that your use is also subject to the terms and policies of these third-party providers.
Pinnacle is not responsible for downtime, errors, or financial losses resulting from third-party service interruptions or platform changes.
9. Results Disclaimer
While many dealerships experience significant performance increases after implementing SOLOFORCE systems, Pinnacle makes no guarantees of sales, leads, or revenue results. Your dealership’s success depends on factors including ad spend, follow-up, staff adoption, and local market dynamics.
Statements of typical client outcomes are for illustration only and are not promises of performance.
10. Termination
Pinnacle reserves the right to suspend or terminate your SOLOFORCE access immediately for:
Non-payment,
Unauthorized account sharing,
Misuse of platform systems,
Breach of these Terms.
Termination does not remove your obligation to pay any outstanding balances or contracted minimum term fees.
11. Acceptance & Authorization
By checking the acceptance box and/or digitally signing this agreement, you:
Confirm that you have read, understood, and agreed to all terms herein.
Authorize Pinnacle Online Marketing Pty Ltd to charge your selected payment method on a recurring basis.
Acknowledge all payments are final and non-refundable.
Acknowledge the 120-day minimum commitment and cancellation process.
Understand that early termination requires full payment of remaining contracted months.
SMS NOTE – United States & Canada Clients
Due to local messaging regulations, all U.S. and Canadian accounts must comply with A2P 10DLC requirements. You have two options:
Pinnacle will file your A2P registration (average approval time: 72 hours).
Option: Activate our Unlimited SMS solution (included at no extra cost) to bypass A2P registration delays. Once inside the SOLOFORCE dashboard, navigate to Directory → Unlimited SMS to enable this feature.
ADVERTISING NOTE -
All advertising under the SOLOFORCE program is managed by Pinnacle Online Marketing Pty Ltd using the client’s own ad accounts and social media pages.
This means:
All ad spend is paid directly by the client to the respective advertising platforms (such as Meta, Google, TikTok, LinkedIn, or others).
Pinnacle does not collect, hold, or bill for ad spend on behalf of the client.
The client remains fully responsible for maintaining active billing methods within their ad accounts and ensuring payment of all advertising charges directly to those platforms.
Pinnacle’s role is limited to the setup, optimization, and management of campaigns within the client’s existing accounts, as part of the subscription service.
Any advertising suspension, disapproval, or limitation imposed by third-party platforms is outside Pinnacle’s control and does not constitute grounds for refund or credit.
